Terms of submission

1. TERMS

These terms of submission (which form part of the Instruct website’s terms of use) explain the terms on which you may use the site to post, transmit, upload or otherwise submit any material or content to or via the site. Please read these terms carefully before submitting any content: by submitting content, you indicate that you accept these terms of submission and you agree to abide by them. If you do not agree to these terms, you may not use the site to submit any content.

2. ALL SUBMISSIONS

2.1 By submitting any content, you represent, warrant and covenant that:

(a) you have the legal right and authority to accept these terms of submission and to grant the applicable licence (as more particularly set out below);

(b) you are the owner of the material or content and/or have all the necessary rights, consents, permissions and licences which are required for you to submit the content and to grant the applicable licence;

(c) the content does not (whether in its submission, subsequent use in accordance with the applicable licence or otherwise) infringe the intellectual property rights of any third party;

(d) to the extent that the content identifies any individual (whether by name, picture or otherwise), you have obtained all consents and permission from those individuals which are required for Instruct to use the content as contemplated by the applicable licence;

(e) the content does not include any material that may be illegal, defamatory, obscene, offensive, harmful to the safety or any person, aimed at harassing any person or otherwise inappropriate to display on the site; and

(f) at our request, you will provide Instruct with written copies of any consents, permission and licences that you are required to obtain in accordance with this clause 2.1.

2.2 Where you are required to complete a registration form in order to access restricted parts of the site or specific services, you agree to:

(a) provide true, accurate, current and complete information; and

(b) to maintain and promptly update your registration information to keep it true, accurate, current and complete.

2.3 If Instruct has reasonable grounds to suspect that any information supplied for the purposes of clause 2.2 is untrue, inaccurate, not current or incomplete, Instruct reserves the right to suspend of terminate your registration and any access you may have to restricted parts of the site or any and all services.

2.4 Other than the limited licence set out in clauses 3, 4, 5 and 6 (as applicable), Instruct acknowledges and agrees that it obtains no right, title or interest from you (or your licensors) under these terms of submission in or to any content that you submit, including any intellectual property rights which may subsist in that content (whether those rights are registered or not, and wherever in the world those rights may exist). You acknowledge and agree that you are responsible for protecting and enforcing those rights and that Instruct has no obligation to do so on your behalf.

2.5 You acknowledge that:

(a) you have received good and valuable consideration in exchange for the applicable licence and that you are not entitled to any further compensation for any use by Instruct of the content in accordance with that licence; and

(b) Instruct may, without notice to you, reject, refuse to use or delete any content at any time where it considers this to be reasonably necessary.

3. RESEARCH PROPOSALS

3.1 In order to have access to facilities in the Instruct network, you must register and submit a research proposal.

3.2 Registered users must be approved by Instruct before they can submit a research proposal. You will receive an email acknowledging receipt of your application to register for this service and a subsequent email informing you whether or not your registration has been approved.

3.4 By submitting a research proposal, you represent and warrant that you are employed by an accredited scientific organisation and that your research proposal contains only information which is true, accurate and complete.

3.5 By submitting a research proposal via the site, you grant to Instruct a revocable and non-exclusive licence to reproduce, modify, prepare derivative works of and otherwise use and disclose the content for the purposes of evaluating the research proposal and assessing the feasibility of conducting the proposed research at the requested facility. In addition, you grant to Instruct a perpetual and irrevocable licence to store a copy of the research proposal for its records.

3.6 Instruct will use its reasonable endeavours to keep research proposals confidential and will only disclose research proposals to those third parties for whom it considers access reasonably necessary to perform the evaluation described at clause 3.5 or where required by law.

4. COLLABORATIVE WORK SPACES

4.1 Collaborative work spaces provide a private area on the site for users to share content and develop collaborative projects, while enabling those users to restrict access to that content to specified users.

4.2 Although Instruct will use reasonable endeavours to protect any content you may submit to a collaborative work space, it does not guarantee the security of any content used in a collaborative work space: any submission of content to a collaborative work space is at your own risk.

4.3 By submitting content to the site in a collaborative work space, you grant to Instruct a revocable, non-exclusive, worldwide, transferable, sub-licensable, fully paid-up and royalty-free licence to reproduce, modify, prepare derivative works of, display and otherwise use the content for the purposes of providing the collaborative work space and enabling its functionality. Without limitation, the rights that you grant to Instruct under this clause 4.3 include a right to grant each user of the collaborative work space a sub-licence to use the content to the extent permitted by the functionality of the collaborative work space from time to time.

4.4 You may, at any time and for any reason, delete content from the collaborative work space and withdraw Instruct’s right to use that content as described at clause 4.3, but you accept that such content may have been downloaded and used by other users in the collaborative workspace and Instruct has no control over the use of any content which may have been removed from the collaborative work space by other users.

5. CHAT ROOMS AND FORUMS

5.1 Your screen name will be used to identify you in online chat rooms and forums. You are welcome to have fun with your screen name, but please note that vulgar or offensive names will constitute a breach of these terms.

5.2 If you are offended by another user’s screen name, please notify Instruct immediately contact Instruct. Similarly, if you are unsure about whether a screen name you would like to use may breach these rules, please contact Instruct for advice contact Instruct.

5.3 Instruct is concerned about the safety and privacy of all users of this site, particularly children. Please remember that any chat rooms and forums on this site are intended to appeal to a broad audience and you are expected to conduct yourself in a polite and respectful manner.

5.4 If Instruct becomes aware of any activities that breach any of the terms of use, these terms of submission or the privacy policy, prompt action will be taken. If you witness any such breach in any chat room or forum (or any other part of the site), please notify Instruct immediately contact Instruct.

5.5 On being made aware of any such breach, Instruct may suspend of terminate your right to use the site or any part of the site.

5.6 By submitting content to the site in a chat room or forum environment, you grant to Instruct a perpetual, irrevocable, non-exclusive, worldwide, transferable, sub-licensable, fully paid-up and royalty-free licence to reproduce, distribute, communicate to the public, publicly perform, modify, prepare derivative works of, display and otherwise use the content in connection with the site, including (without limitation) for the purposes of promoting and redistributing part or all of the site in any media formats and through any media channel. Without limitation, the rights that you grant to Instruct under this clause 5.6 include a right to grant each user of the site a sub-licence to use the content to the extent permitted by the functionality of the site from time to time.

6. WEBSITE PAGES

6.1 Organisations in the Instruct network may be granted rights to edit and publish content on site pages which relate to their organisation.

6.2 By contributing any such content to the site, you grant to Instruct a revocable, non-exclusive, worldwide, transferable, sub-licensable, fully paid-up and royalty-free licence to reproduce, distribute, communicate to the public, publicly perform, modify, prepare derivative works of, display and otherwise use the content in connection with the site, including (without limitation) for the purposes of promoting and redistributing part or all of the site in any media formats and through any media channel. Without limitation, the rights that you grant to Instruct under this clause 6.2 include a right to grant each user of the site a sub-licence to use the content to the extent permitted by the functionality of the site from time to time.

7. TRANSFER OF RIGHTS

You acknowledge and accept that the administration of Instruct may transfer to another entity (the “Replacement Entity”), from time to time. In such circumstances, the rights and obligations granted to Instruct under these terms of submission (including, but not limited to, any permissions granted under an applicable licence) will be transferred to that Replacement Entity.
